VCL'S PROCESS

Initially, VCL will –

•  assign a director or associate to the client company, for a preliminary discussion of VCL's services and the company's needs, without any cost or obligation

•  propose a programme of investment-readiness and fund raising, and agree terms with the company

•  help management to create a convincing information memorandum, often based on the company's business plan – where there is one. (Why do we 'help' you to write an information memorandum? Why don't we just write it? Simply because the information is already in the company; VCL can't invent it. And imagine your MD being quizzed, by a potential investor, and being unable to answer because he doesn't know the detail!)

•  identify the investment required; value the business; and target terms for new investment

All proposals are then reviewed by VCL 's board. If approved, VCL will then –

•  identify potential funding sources, from its experience and in discussion with those sources. This may involve circulation of a no-names summary to selected investors

•  introduce the company to the most appropriate Business Angel Network BAN or other investor(s). Thereafter, the company has direct access to those investors directly, with VCL maintaining a watching brief, on hand to help the company throughout the process

•  where appropriate, introduce providers of debt funding and other complementary forms of finance

With the support of VCL , the company will then present to investors, and/or hold meetings with individual investors, following which –

•  detailed discussions are held with interested investors, hopefully leading to the company receiving an investment proposal

•  investment terms are negotiated and agreed between the company and investors; non-binding heads of agreement reached

•  investors undertake due diligence

•  formal documentation drafted and negotiated

•  the transaction completes and the investment is made

VCL will maintain a liaison with the company throughout the projected investment period, whether by appointment of a non-executive director, or less formally
